Introduction

HappyBudget (referred to as 'HappyBudget', 'we', 'us', or 'our') is a personal finance application for web and mobile devices. It allows users (referred to as 'you' or 'the user') to track expenses and manage personal, shared, or family budgets in one place. These Terms and Conditions ('Terms') govern your access to and use of the HappyBudget app and website (collectively, the 'Service'). By using the Service or purchasing HappyBudget, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use the Service.

Acceptance of Terms

By accessing or using HappyBudget, you confirm that you have read, understood, and agree to abide by these Terms. You must be at least 18 years old (or the age of legal majority in your jurisdiction) to purchase or use HappyBudget. If you are using HappyBudget on behalf of a company or other entity, you represent that you have authority to bind that entity to these Terms. Use of the Service is also subject to our Privacy Policy (see Privacy and Data Protection below) and any applicable laws and regulations. If you do not accept these Terms, you are not authorized to use HappyBudget.

Description of the Service

HappyBudget is a digital personal finance tool designed to help you organize your finances in a simple way. The Service enables you to: Track Expenses and Income: Log your daily expenses and income to monitor your financial habits. Manage Budgets: Create budgets (including shared or family budgets) to plan and limit your spending in various categories. Collaborative Budgeting: Optionally share budget access with family members or trusted partners to manage finances together. HappyBudget is provided as a one-time purchase software product, giving you full access to its features after purchase. There is no free trial period and no subscription model – you pay once and can use the app indefinitely with access to all updates (see Access to Future Updates). HappyBudget is intended for personal use as a budgeting aid; it is not a banking service or investment adviser. We do not provide financial, legal, or tax advice, and any information within the app (such as budget suggestions or analytics) is for your personal reference only. You remain responsible for your own financial decisions and should consult professional advisors where appropriate.

Payment and Billing (Paddle as Merchant of Record)

One-Time Purchase: In order to access the full HappyBudget Service, you are required to pay a one-time purchase price as indicated on our website or app at the time of purchase. There are no recurring fees or subscriptions. The price is inclusive of any applicable value-added tax (VAT) or sales tax unless stated otherwise. All prices are listed in the specified currency and are payable in that currency. Merchant of Record: Our order and payment process is conducted by our authorized online reseller, Paddle.com. Paddle acts as the Merchant of Record for all HappyBudget purchases, meaning you purchase HappyBudget from Paddle, and Paddle handles the transaction billing and payment processing paddle.com . You will be required to provide payment information (such as credit card or other payment method details) during checkout, but this information is collected securely by Paddle – it does not touch our servers. Paddle may appear as the seller on your payment receipt or bank statement. By placing an order, you agree to Paddle's Checkout Buyer Terms and Conditions (which will be presented to you at checkout or can be found on Paddle’s website) in addition to these Terms. Payment Authorization: By submitting a payment, you represent and warrant that: (a) the payment information you provide is accurate and you are authorized to use the payment method, and (b) you will pay the full purchase price (and any applicable taxes or fees) for the Service. If your payment cannot be processed or is later invalidated (e.g. due to chargeback), we may revoke or suspend your access to HappyBudget until proper payment is received. Billing Issues: Any billing inquiries or issues (such as duplicate charges or payment failures) can be directed to Paddle's customer support or to us at our Contact Information below. Since Paddle is our payment merchant, they handle invoicing and can assist with payment-related questions or receipts. We and Paddle reserve the right to refuse or cancel an order if fraud or unauthorized/illegal transactions are suspected.

Delivery of Digital Product

Immediate Delivery: HappyBudget is a digital product. Once your payment is successfully processed, the digital product will be delivered immediately. Delivery may consist of providing you with access to download the HappyBudget app or unlocking the full version of the app (for example, via an activation code, account credentials, or direct download link). There is no physical product shipment. You will typically receive a confirmation email (from Paddle or us) with details of your purchase and instructions for accessing HappyBudget. We fulfill our obligation to deliver the product when we make the full functionality of HappyBudget available to you after purchase. System Requirements: To use HappyBudget, you must have a compatible device and internet access for any initial download or license verification. The app supports [insert applicable platforms, e.g. iOS, Android, and/or web browsers]. It is your responsibility to ensure your device meets the minimum requirements (such as operating system version and storage space) for running the app. We are not liable for any failure of the Service to operate on devices that do not meet the requirements or on jailbroken/rooted devices that may compromise security. No Shipping or Physical Delivery: Because HappyBudget is delivered electronically, you will not receive any physical media or package. Delivery is considered complete once the software is accessible to you digitally. If you encounter any issues downloading or accessing the app after purchase, please contact us so we can assist in resolving the issue promptly. Consent to Immediate Performance: By completing your purchase and accessing the digital content (the HappyBudget app) immediately, you expressly consent to us providing the service right away and acknowledge that this constitutes the beginning of performance of the contract. This means that you waive any statutory right to withdraw or cancel your purchase after the download or access has begun paddle.com (see Refund Policy below for details). We will provide you with confirmation of your purchase (e.g. via email receipt) which serves as confirmation of the contract on a durable medium, as required by law.

Access to Future Updates

Access to Future Updates Your one-time purchase of HappyBudget includes access to all future updates and improvements for the app. This means that whenever we release new versions, features, or enhancements to HappyBudget, you will be entitled to receive them at no additional cost. Updates will generally be delivered through the same platform from which you installed the app (for example, via the iOS App Store, Google Play Store, or our website download). We recommend that you keep HappyBudget updated to the latest version to benefit from new features, security patches, and bug fixes. While we plan to continue improving HappyBudget, please note that the scope, frequency, and content of updates are at our discretion. We make no guarantee of any specific feature updates or future functionality, other than that you will receive whatever updates we do release for the product. Access to future updates under these Terms does not include any entirely new products or separate services that we may offer under a different name. However, any update or upgrade that replaces and/or supplements HappyBudget will be covered, provided you have already purchased the app.

Refund Policy (No Refunds)

All Sales Final After 14 Days
We offer a 14-day refund window in line with Paddle's Buyer Terms. If you are dissatisfied with your purchase of HappyBudget for any reason, you may request a refund within 14 days of the transaction. After this period, all sales are considered final and non-refundable.

Eligibility for Refunds Within 14 Days

To qualify for a refund within 14 days:
  • Your request must be submitted to our support team or Paddle within 14 calendar days from the date of purchase.
  • Refunds are only available to first-time customers who have not abused this policy previously.
  • We may request feedback to help us improve the product.

No Refunds After 14 Days

Due to the nature of our digital product, once the 14-day period has passed, we do not provide refunds, cancellations, or returns. By purchasing HappyBudget, you acknowledge and agree that:
  • You receive access to the full version of the digital product immediately upon purchase.
  • You waive your statutory right to withdraw once the download or access begins, in accordance with EU consumer law.

Exceptions (as required by law)

Refunds outside the 14-day window may only be issued if:
  • You were charged multiple times by mistake.
  • The product is faulty, and we cannot fix or replace it within a reasonable time.
In these cases, please contact our support team or Paddle to investigate and resolve the issue.

User Responsibilities

By using HappyBudget, you agree to use the Service responsibly and lawfully. You are responsible for all your activities on the app and any data (such as budget information) you input or share. Specifically, you agree that you will not engage in any of the following prohibited activities: Unauthorized Sharing: Do not share your license, activation code, or account (if accounts are used) with unlicensed users. The purchase grants you a personal right to use HappyBudget; you must not distribute or resell the app or make it available to others who have not purchased it. Misuse or Illegal Activities: You must not use HappyBudget for any unlawful purpose or in furtherance of illegal activities. This includes, for example, using the app to facilitate money laundering, fraud, or any activity that violates laws or regulations. You also agree not to use the app to store or transmit content that is illegal, defamatory, or infringes on others’ rights. Interference with the Service: Do not attempt to disrupt or interfere with HappyBudget’s operation or security. You must not introduce viruses, malware, or any harmful code to the app or abuse the Service (e.g. by automated scraping or exploitation of any vulnerabilities). Attempting to hack, reverse engineer, decompile, or disassemble the app’s software is strictly prohibited. Privacy Violations: If using shared budgets or any collaborative features, you must respect the privacy and rights of others. Do not use any personal data in the app (such as names or financial details of third parties) without proper authorization. You are responsible for ensuring that any data you share with others via the app is done with consent and in compliance with privacy laws. Accurate Information: When creating budgets or logging expenses, the accuracy of the data you enter is your responsibility. The usefulness of HappyBudget’s analytics or summaries depends on the accuracy of the information you provide. We are not responsible for consequences of decisions you make based on inaccurate information you entered into the app. You are also responsible for maintaining the confidentiality of any login credentials or secure information related to your use of HappyBudget. If you believe that someone has gained unauthorized access to your account or license, you must notify us immediately. We reserve the right to terminate or suspend your access to the Service (without refund or compensation) if you violate any of these user responsibilities or any other provision of these Terms.

Privacy and Data Protection

Your privacy is important to us. We are committed to handling your personal data in compliance with applicable data protection laws, including the EU General Data Protection Regulation (GDPR) and relevant Italian privacy legislation. By using HappyBudget, you acknowledge that your personal information will be processed in accordance with these laws and our Privacy Policy. Data Collection and Use: In order to provide the Service, we may collect certain personal data from you, such as your name, email address, and payment details (note: payment details are collected by Paddle for processing, not by us directly). We might also collect data you input into the app (like budget categories or transaction records) if those are synced or backed up via our service. We will only collect data that is necessary to deliver and improve HappyBudget, to provide customer support, and to comply with legal obligations (such as financial record-keeping or tax regulations). We do not sell your personal data to third parties. We will never access your personal financial data entered in the app unless it is necessary to troubleshoot an issue at your request, and even then, we will do so only with your consent. Data Storage and Security: Any personal data we store is kept securely using industry-standard encryption and security practices. If HappyBudget stores your data on servers (for example, if you create an online account or sync across devices), we will take reasonable measures to protect that data and prevent unauthorized access. You are responsible for maintaining the security of your own devices and passwords to the Service. Please notify us promptly if you suspect any unauthorized access to your data or any breach of security. User Rights: If you are an EU resident, you have certain rights under GDPR, including the right to access the personal data we hold about you, to request correction or deletion of your data, and to object or restrict certain processing of your data. Continued use of HappyBudget after a Privacy Policy update indicates acceptance of the revised terms.

Intellectual Property

Ownership: HappyBudget and all materials provided through the Service (including but not limited to the software, code, designs, logos, graphics, text, and content in the app or on the website) are protected by intellectual property laws. Unless otherwise indicated, we (or our licensors) own all rights, title, and interest in and to the HappyBudget software and related content. HappyBudget is our trademark/brand, and our logo and any other product or service names or slogans displayed in the app or website are trademarks of ours or our partners. These Terms do not transfer any ownership of our intellectual property to you or any third party. License to You: Upon purchase and subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to download, install, and use one copy of the HappyBudget application on your personal devices for your own personal and non-commercial use. This license is provided solely for you to use the Service as intended (i.e., for managing personal or family budgets) and in accordance with these Terms. You agree not to use the HappyBudget software or content for any commercial purpose without obtaining a separate license or permission from us. Restrictions: You must not, and must not allow any third party to: Copy, modify, distribute, sell, or rent any part of HappyBudget or the software, except as explicitly allowed in these Terms. You may not transfer your license to another person, nor sublicense or resell the app to others. Reverse engineer, decompile, or attempt to extract the source code of the HappyBudget software, except to the limited extent that applicable law expressly allows such activity notwithstanding this restriction. Use any of our intellectual property (including our name, logo, or graphics) in a way that could cause confusion or imply endorsement by us without our written consent. For example, you cannot use "HappyBudget" as the name of another product or service, or use our logos in your own application's branding, without permission. Create any derivative works based on HappyBudget, or use the Service's components to build a competing product. All customizations, plugins, or integrations you might develop (if our software allows) are solely for your personal use and may not violate our rights or those of our licensors. User Content: In the course of using HappyBudget, you may input or store your personal financial information, notes, or other data ("User Content"). We do not claim ownership of your User Content – you retain all rights to the data you enter into HappyBudget. These Terms do not give us any rights to your content except for the limited rights that are necessary for us to operate the Service (for example, processing it for display in the app, or backing it up if you use a cloud sync feature). We will not access, use, or disclose your User Content except as described in these Terms and our Privacy Policy, or as required by law. Feedback: If you provide us with any suggestions, ideas, or feedback about HappyBudget ("Feedback"), you acknowledge that we can use and implement this Feedback without any obligation to compensate you. Any Feedback you provide is completely voluntary, and we may use it to improve the Service. All rights not expressly granted to you in these Terms are reserved by us and our licensors. Unauthorized use of any of our intellectual property or the Service will result in termination of the licenses granted in these Terms and may also violate applicable law.

Limitation of Liability

Use at Your Own Risk: HappyBudget is provided to help you organize your finances, but you should not rely on it as your sole financial tool. You use the Service at your own risk. The Service is provided on an "as is" and "as available" basis. While we strive to ensure the app’s accuracy and reliability, we do not guarantee that HappyBudget will be error-free, uninterrupted, or meet all of your expectations. We make no explicit warranties or representations about the suitability, reliability, availability, or accuracy of the Service for your particular needs, except as provided by law. No Liability for Certain Damages: To the fullest extent permitted by applicable law, in no event will we (or our directors, officers, employees, agents, or affiliates) be liable for any: Indirect or Consequential Losses: This includes any special, incidental, consequential, or punitive damages, or any loss of data, loss of profits, loss of income, loss of business opportunity, or similar financial losses that may result from your use of (or inability to use) HappyBudget. Financial Decisions: HappyBudget’s budgeting suggestions or analytics are for informational purposes. We are not responsible for any financial decisions you make based on the information provided by the Service. Any losses or damages resulting from investments, budgeting choices, or other financial decisions made by you after using our Service are solely your responsibility. Data Loss or Security Issues: While we implement security measures (see Privacy and Data Protection), we are not liable for unauthorized access to or alteration of your transmissions or data, or any material or data sent or received or not sent or received, or any transactions entered into through the Service. You are responsible for maintaining backups of your data outside the Service. Third-Party Acts: We are not responsible for the behavior of third parties that you may interact with through the Service (for example, if you share budget information with family members, we are not liable for what they do with that information). Additionally, we are not liable for issues attributable to third-party platforms or services that HappyBudget relies on (such as app store availability, Paddle’s payment processing, or your device’s operating system). Liability Cap: Except for the types of liability we cannot limit under law (described below), our total liability to you for any claims arising out of or relating to these Terms or your use of HappyBudget will not exceed the amount you paid to purchase HappyBudget. If you have not paid (e.g., if a court finds you entitled to use of the Service without payment), our liability in such case will not exceed the retail price of the product at the time of your claim. This limitation applies to all claims of any kind, whether based on warranty, contract, statute, tort (including negligence), or otherwise. No Limitation for Certain Rights: Nothing in these Terms limits or excludes our liability for: (i) death or personal injury caused by our negligence or willful misconduct, (ii) gross negligence, fraud, or fraudulent misrepresentation on our part, or (iii) any other liability that cannot be limited or excluded by law. Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain liabilities, especially when dealing with consumers, so some of the above disclaimers or limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law. Release of Claims: To the extent permissible by law, you agree that any dispute you have with us shall be resolved in accordance with Governing Law below, and you release us from any and all claims, demands, and damages arising out of your use of the Service, except to the extent that we are liable under these Terms.

Governing Law (Italy / EU)

These Terms and any dispute or claim arising out of or in connection with the use of HappyBudget or these Terms (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of Italy. By using the Service and agreeing to these Terms, you agree that any legal matters will be subject to the jurisdiction of the courts of Italy, unless otherwise required by applicable consumer protection laws. However, if you are a consumer residing in a member state of the European Union, you may also be entitled to the protection of mandatory provisions of the law of your country of residence. Nothing in these Terms (including this Governing Law section) affects your rights as a consumer to rely on such mandatory local law provisions paddle.com . In other words, while Italian law governs these Terms and our relationship with you, you will not lose any protection or rights that you are entitled to under the laws of your own country in the EU. Dispute Resolution: We sincerely hope to resolve any concerns or disputes amicably. If you have any issue or disagreement with us, we encourage you to contact us first (see Contact Information below) to discuss and resolve the matter informally. If we cannot resolve a dispute privately, and you wish to pursue legal action, the courts located in Italy will generally have jurisdiction (unless otherwise dictated by your local laws for consumer disputes). If you are an EU resident, you also have the right to seek resolution through the EU Online Dispute Resolution (ODR) platform. The ODR platform, accessible at https://ec.europa.eu/consumers/odr, is an official website managed by the European Commission to help consumers and traders resolve disputes out of court. While you are free to use this platform, please note that we are not obliged to participate in a formal ODR process. Nonetheless, we will consider any request for dispute resolution in good faith.
